Notice of Midsteeple Quarter EGM

Notice is given that a General Meeting of Dumfries High Street Limited (operating as Midsteeple Quarter Community Benefit Society) will be held online on 27th July 2023 at 6.30pm to conduct the business set out in the agenda available at here or on request from info@midsteeplequarter.org or by writing to our registered office (c/o Armstrong Watson, 51 Rae Street, Dumfries, DG1 1JD).

As this event is to vote on rules changes, only Type A and B members are invited and eligible to vote. An email has been sent directly to all eligible members soon how to register for the meeting.

Phase One of delivering Midsteeple Quarter’s Masterplan is well underway, with practical completion programmed for early 2024. We are now planning ahead to put in place a delivery strategy for Phase Three, which will see the acquisition of more buildings within the MSQ Masterplan area.

Following advice from Development Trusts Association Scotland (DTAS), South of Scotland Enterprise (SOSE) and the Scottish Government’s community land team, we have been advised that a number of changes to our Rules are required to ensure Midsteeple Quarter Community Benefit Society complies with current legislation, which could prove an important tool in unlocking Phase Three, and general good governance.

The Secretary, at the request of the Board of Directors under Rules 35 of the Rules of Dumfries High Street Ltd, calls for a general meeting for the purpose of an amendment to the Society's Rules. The amendment to the Rules will be decided at the general meeting by passing resolution under Rule 58(a)(ii) i.e. by extraordinary resolution.
